Durov and the Telegram Foundation: Is the GOAT Cooked?
Note: This essay draws on my notes from my research for "The Telegram Labyrinth." However, I feel comfortable with a style that blends my musings, facts, and some "what if" scenarios. In this essay, I present some information about the Skolkovo recipe, an approach to US capital markets that requires a specific page from a financial engineering playbook. Most of the information originated in Russian social media; for example, online articles, Telegram messages, items in PCNews.ru, and VKontakte pages. Remember, the statements in this essay are from my notes and should be viewed as working hypotheses. Verify before you trust any of my observations. Please, keep the disclaimers in mind as you review this briefing document.
The Swiss have a dish that consists of goat meat and goat cheese. If you want to order it from a restaurant in Toggenburg, you are in for a treat. Just ask, "Chönnt ich es Gichtsfleisch mit Geisschäs ha, bitte?"
The recipe varies from location to location, but the basics are easy. Get some goat meat. Buy some goat cheese. Cook the goat, add the cheese, and toss in some spices. Order up!
With Telegram's pulling back the TONcoin from the Swiss registered TON Foundation, the question becomes, "Will FINMA (Swiss Financial Market Supervisory Authority) take a close look at Pavel Durov, the self-proclaimed GOAT of Russian startups, and decide to take a close look at neutered foundation. Turn up the heat, and add a few more ingredients, and Mr. Durov finds himself in another oven.
In May 2026, Pavel Durov popped his plan in his microwave. He announced that Telegram would take over governance of the TONcoin and its associated technologies. Telegram, not the TON Foundation, would become the driver of the 14-year-old platform, its blockchain technologies, and its centralized pivot point for fees, validation, and operation of the TONcoin financial "system."
The problem for Durov is that these roles were allegedly those of the TON Foundation. The Foundation was created after the US Securities & Exchange Commission found Telegram guilty of illegal fund raising for its GRAMcoin. Durov's delegating control of the crypto and its technologies to the TON Foundation would keep the TONcoin alive without Telegram's openly directing it, its applications, and its technology.
What if the Swiss authorities probe his cooked up scheme for TONcoin and the Foundation? Swiss rules and laws could determine that Durov's original statements about the TON Foundation were not accurate. Durov's foundation was under his control, and he was acting as a "shadow director."
Durov probably understands the risks his decision to pull back control of TONcoin and its other components. He may be running out of levers he can pull to boost the value of Telegram's crypto currency and keep its dreams of a global decentralized financial system alive. The decision to "pull back" TONcoin undermines the Foundation's alleged control of the crypto and associated technologies.
Durov is not a Swiss citizen. The TON Foundation is registered in Switzerland. On the surface, it appears that Swiss regulators can write strongly worded letters and fine Telegram.
What Can Swiss Regulators Cook Up for Durov?
However, Swiss authorities have tools at their disposal that can increase the legal jeopardy of Durov and the Swiss citizen on the Foundation's Board of Directors. The Swiss probe into the TON Foundation could reveal evidence that the Foundation was little more than an extension of Durov-controlled Telegram. That information would be shared with US regulators who could re-open their inquiry into Durov's activities related to GRAMcoin and subsequent financial activities in the United States. Two likely points of inquiries would be the TON Strategy Company (NASDAQ:TONX) and Alpha Compute né AlphaTON Capital (NASDAQ: ATON and subsequently ALP). Both of these firms have suffered significant loss of value because of their dependence on the TONcoin and Telegram's Cocoon business concept. It is possible that Swiss authorities would share information with the French judiciary. (Durov awaits trial in France on a number of serious online crime offenses.)
The Swiss could also remove the Foundation's Board of Directors and appoint an independent administrator to oversee the Foundation's assets; for example TONcoin holdings, funds from partners and developers contributing to the mission of the Foundation, and intellectual property if any.
Swiss authorities can freeze the required Swiss bank accounts. Furthermore, regulators can freeze domestic assets if the Foundation is operated as a stage set for Telegram and Durov. Plus, the Foundation can be dissolved and classify Durov as the operator of the Foundation. Under Swiss anti-money laundering standards, an enforcement ruling can be issued that bars Durov from operating in the Swiss financial system.
The Swiss authorities can hold the mandatory Swiss member of the Foundation's Board of Directors liable. The idea is that this person is personally liable for the Foundation's compliance. Civil and possibly criminal charges could be levied at this individual.
The trip wire for the Swiss regulators is likely to be in June 2026 when a transition audit report is required.
What's Durov's Recipe?
Durov has not, as of May 11, 2026, explained his actions. It is possible to speculate about why he took this dramatic decision. These are subject to change as events unfurl:
- Durov stepped in, reclaimed control of TONcoin, and neutered the Foundation to reverse the decline in TONcoin value. The direct action worked because TONcoin has reclaimed some value since Durov pulled TONcoin back into Telegram.
- Without dramatic action, the three companies set up to add value to the Telegram/TONcoin ecosystem were not delivering strong financial results. Steve Yun's TVM Capital, Yuri Mitin's Alpha Compute, and Manny Stotz' TON Strategy Companies were floundering. Strong action was needed in hopes of boosting the financial fortunes of these "value plays."
- Legal pressures on Durov himself were increasing. The French trial looms in 2026 or 2027. Fines and imprisonment are possible for Durov who is a French citizen. Russia is actively implementing procedures to force Telegram users to abandon Durov's system for the Kremlin-authorized MAX messaging app. Now the Swiss are likely to take a closer look at Durov's Foundation. Durov may perceive himself as running out of wiggle room; therefore, forward to victory.
The past behavior may illuminate Durov's recent TONcoin push. When VKontakte ran into Kremlin demands for user information, Durov founded Telegram and found himself forced to divest his stake in VKontakte. He packed his laptop and fled to Dubai, United Arab Emirates. He operated Telegram from that location as an "AirBnB" executive; that is, he moved around and relied on contractors, a small team of trusted professionals, and a small staff in the Dubai office. Defiance and a bold action are part of his business method. Reclaiming TONcoin, cutting service fees for use of the Telegram platform, and other recent announcements are in line with his preference for bold, aggressive action. He can't run in 2026 because of the French leg irons clapped on him by his impending trial.
Durov's reclamation of TONcoin is a familiar recipe. Regulatory frameworks are obstacles he can circumvent rather than observe. His Foundation action invites the scrutiny he tried to avoid. Is Durov the brilliant head chef, or is he just microwaving yesterday's pelmeni (dumplings)?
In June 2026 the Foundation transition audit report could trigger Swiss enforcement. US regulators could take a closer look at the 2020 GRAMcoin settlement and NASDAQ listings linked to Telegram. French prosecutors may consider Durov's Foundation action in Durov's upcoming criminal trial. Durov has built his career on the belief that speed and audacity overwhelm bureaucratic processes. In 2026, that proposition faces its most consequential test.
