Manny Channels Bruce Lee: Amazing Reflexes

Reprimands are not good news, but an Nasdaq reprimand is better than an SEC enforcement action. A delisting would be undesirable, for instance. I think of these reprimands as US government nastygrams, embarrassing but not catastrophic.

Manny deflects the US government

TON Strategy Company relies on a business model quite close to that of Michael Saylor's Strategy Company's. Saylor's idea was to hold Bitcoin and profit as the value of crypto rose. Manny Stotz thought the idea was a good one. Storz created TON Strategy Company to buy and profit from the rising value of a crypto currency conceived by Pavel Durov, the founder of Telegram.

The original GRAM token rolled out in 2018. Durov and Telegram found themselves in violation of SEC rules. In reaction to the SEC fine and subsequent settlement, GRAM was renamed to TONcoin in 2021. Durov set up a foundation and allegedly turned over the governance of the TON token and its technology to the TON Foundation. In 2026, Durov reclaimed the TON token and renamed it again as the GRAM token. Telegram once again had responsibility for the Telegram crypto currency. Telegram's nomenclature is less than straightforward in my opinion. (As an aside, "TON" is an acronym for "The Open Network"; that is, the Telegram technology platform.)

TON Strategy is familiar with SEC nastygrams. Last year, the company received a notice that it failed to secure shareholder approval for a share issuance. This most recent problem relates to an equity award rule violation.

Nasdaq accepted TON Strategy's self-reporting, its corrective actions including pulling back the grants and getting shareholder ratification). TON Strategy also assured the US regulators that it would follow the rules going forward.

The incident reminded me of how Bruce Lee, the famous martial artist and actor, pulled off death-defying stunts. He did some planning and then relied on his reflexes to avoid being knifed, pierced by an arrow, or beaten to death by a gang of thugs. Manny Stotz may be similar to Bruce Lee. Lee was an actor who was a master illusionist. Manny is a financial engineer who has so far avoided having a bridge made of GRAM coins collapse on him.

I want to speculate about how these missteps take place. Stotz is an experienced frontier investor. He has ties to other financiers who have made fortunes speculating on long-shot inventions in Southeast Asia. One of Manny's connections is to his former client Oskar Hartman. Hartman is a German entrepreneur who resides in Russia. Oskar founded the upscale Equium Club for wealthy professionals. The Dubai facility is a favorite of Russian expatriates and some wealthy UAE citizens. During club events, the members chit-chat and share investment opportunities with fellow travelers.

Nasdaq determined the violations appeared inadvertent and not a deliberate attempt to avoid compliance. The company had self-reported the issue, obtained shareholder ratification of sufficient shares for prior grants, and rescinded recent grants to officers and directors. As a result, Nasdaq issued only a Reprimand Letter, the company’s shares remain listed on Nasdaq, and the matter is now considered closed.

One question I asked myself was, "Why is TON Strategy Company getting nastygrams?"

Here are my preliminary thoughts:

  1. PIPEs or private investment in public equities are not unusual. They can be useful when a publicly-traded firm is under financial duress.

  2. If no other financing options are available, a PIPE can be used to raise capital quickly. Some PIPE investors expect special consideration, but the details are often difficult to nail down.

  3. If a market price and the valuation drift apart, a PIPE can be used as a life preserver until a rescue vessel pulls everyone out of a cold, dark sea of red ink.

If one or more of these preliminary thoughts are valid, the missteps with the procedures and paperwork are possibly the result of stress, haste, or "go fast, break things" management actions.

TON Strategy Company's viability depends on the value of the GRAM token. If GRAM continues to dogpaddle, TON Strategy Company will have do more than a financial engineering version of a Bruce Lee survival trick.

Should Telegram itself lose traction as a result of the impending trial of Durov and a subsequent guilty verdict or increased cooperation with French police when they request details of suspected criminal activity on Telegram's platform — TON Strategy Company could face stronger market headwinds. No rescue vessel can pull those in danger of drowning out of the water when a hurricane is occurring.

TON Strategy has one business model: GRAMcoin value will go up. A one-trick pony that goes lame doesn’t have much future in the circus. How will TON Strategy perform going forward? Bruce Lee dodged many threats until he didn’t.
